Terms of Service

These terms govern your use of zhebrella.com and any custom umbrella manufacturing engagement with ZheBrella Custom Umbrella Manufacturing Co., Ltd. ("ZheBrella," "we," "us"). By submitting an inquiry or placing an order you accept these terms.

1. Quotations

Quotations are valid for 30 days from the date issued. Prices are quoted in US dollars (USD) on FOB, CIF, or DDP Incoterms as agreed. Quotations include the agreed quantity, specifications, branding method, packaging, and lead time.

2. Samples

Pre-production samples are produced for client approval before mass production begins. Sample fees and air-freight costs are billed to the client and are typically credited toward the bulk order upon production confirmation.

3. Orders and Payment

Orders are confirmed by signed sales contract or signed proforma invoice. Payment terms are typically: 30% deposit by wire transfer before production, 70% balance by wire transfer or LC against shipping documents. Letter of Credit and Trade Assurance terms available for established accounts.

4. Lead Time

Lead time is counted in working days from the date the deposit is received and final artwork is approved. Force majeure events, port congestion, or last-minute design changes can shift the schedule and will be communicated promptly.

5. Quality Standards

Every order passes our 5-stage internal QC plus optional third-party AQL 2.5 inspection. Defect tolerance follows the AQL 2.5 standard unless otherwise agreed. Defects above the AQL threshold are replaced at our cost.

6. Intellectual Property

You retain all intellectual property rights in your logos, artwork, and brand assets. We sign a Mutual Non-Disclosure Agreement on request and do not reproduce client designs for any other buyer. For our ODM original designs, you own the design upon order confirmation - we do not sell the same design to competing buyers in your market.

7. Shipping and Customs

For FOB shipments, risk transfers when the goods cross the ship's rail at the port of loading. For CIF, risk transfers at the destination port. For DDP, risk transfers upon delivery to your warehouse. Import duties, taxes, and customs clearance fees are the buyer's responsibility unless explicitly included under DDP terms.

8. Warranty

We warrant that goods conform to the approved sample and agreed specifications. Claims must be submitted in writing with photo evidence within 30 days of delivery. Our warranty is limited to replacement or refund of defective units; we do not warrant against misuse, normal wear, or weather damage exceeding the rated wind specification.

9. Force Majeure

Neither party is liable for delays or non-performance caused by events beyond reasonable control: natural disasters, government action, port strikes, pandemics, war, or major utility failures. Notice of force majeure will be given promptly with revised timeline.

10. Governing Law and Disputes

These terms are governed by the laws of the People's Republic of China. Disputes will be resolved first by good-faith negotiation. If unresolved within 60 days, the dispute is submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in English.
